Terms of Service for Drop-it

1. Acceptance of Terms

By accessing or using the Drop-it Driver App or Merchant App (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree, you must not use the Platform.

2. Description of Services

Drop-it is a technology platform that facilitates:

  • Order creation and management by merchants
  • Assignment and execution of deliveries
  • Real-time tracking and communication

Carson Logistics W.L.L acts as a platform operator and service provider, and may also provide logistics services where applicable.

3. User Accounts

a) Registration

Users must provide accurate and complete information.

b) Responsibility

You are responsible for safeguarding your account credentials and all activities under your account.

c) Eligibility

Users must be at least 18 years old.

4. User Responsibilities

a) Merchants

Merchants agree to:

  • Provide accurate and complete order details
  • Ensure shipments comply with applicable laws
  • Avoid shipping prohibited, restricted, or undeclared goods
  • Properly package items for transport

5. Prohibited Activities

Users must not:

  • Use the Platform for unlawful or fraudulent purposes
  • Provide false or misleading information
  • Interfere with Platform security or operations
  • Submit fake or unauthorized delivery requests

6. Payments and Fees

  • Service fees will be communicated within the Platform or through separate agreements
  • Carson Logistics reserves the right to modify pricing with reasonable notice
  • All payments must be made through approved methods

7. Cash on Delivery (COD) Terms

Carson Logistics — Drop-it

7.1 Definitions
  • 7.1.1 "Carson", "we", "us" means Carson Logistics, operating the Drop-it delivery service.
  • 7.1.2 "Merchant" means the business registered on Drop-it under a Commercial Registration (CR) number, including its authorised users.
  • 7.1.3 "Customer" means the person receiving the delivery and paying for it.
  • 7.1.4 "COD Order" means an order where the Customer pays the item amount plus the delivery fee to the driver at delivery.
  • 7.1.5 "COD Amount" means the item value entered by the Merchant, excluding the delivery fee.
  • 7.1.6 "Total Collectable Amount" means the COD Amount plus the delivery fee (QAR 15 for Value Delivery or QAR 25 for Priority Delivery).
  • 7.1.7 "Settlement" means the payment of collected COD Amounts to the Merchant by Carson.
7.2 Eligibility and Activation
  • 7.2.1 COD is not available by default. A Merchant may use prepaid delivery immediately after registration; COD is enabled only after verification.
  • 7.2.2 To activate COD, the Merchant must accept these COD Terms and upload: (a) a valid Commercial Registration; (b) a valid Computer Card / Establishment Card; and (c) an official bank letter showing IBAN and account details.
  • 7.2.3 Carson may approve, reject, or request further documents at its sole discretion, and may re-verify the Merchant at any time.
  • 7.2.4 Settlement is made only to the bank account held in the name of the registered business shown on the bank letter. Changes to bank details require a new bank letter and Carson's written approval. [Carson may apply a hold of [X] days after a change.]
  • 7.2.5 COD access is set per CR number. All users under the same CR share the same COD status, wallet, and account standing. The Admin user is responsible for all users' orders.
7.3 Creating a COD Order
  • 7.3.1 The Merchant is solely responsible for the accuracy of the Customer's name, phone number, delivery location, item description, and COD Amount.
  • 7.3.2 An item description is mandatory. The Merchant confirms the item complies with these Terms and the Prohibited and Restricted Items rules.
  • 7.3.3 Customer confirmation: A COD Order is activated only after the Customer confirms it by WhatsApp, choosing Value or Priority delivery and accepting the Total Collectable Amount. No driver is assigned before confirmation.
  • 7.3.4 If the Customer does not confirm, states the amount is incorrect, or says they did not place the order, the order is cancelled or held until the Merchant corrects it. Carson may flag the Customer number and the Merchant account for review.
  • 7.3.5 Duplicate orders: Carson may warn the Merchant when an order matches another placed within 30 minutes (same Customer phone, address, and COD Amount). The Merchant remains responsible for duplicate orders it chooses to submit.
  • 7.3.6 Merchants must not create fake, test, or self-placed COD Orders to inflate volumes or obtain settlements.
7.4 Prohibited and Restricted Items
  • 7.4.1 Prohibited items (for example alcohol, pork, narcotics, weapons, tobacco and vapes, counterfeit goods, and currency or negotiable instruments) will not be carried, whether prepaid or COD. Carson may reject, refuse to collect, or stop any such shipment.
  • 7.4.2 For Restricted items (for example medicines, lithium batteries, perfumes and aerosols, jewellery, medical devices), the Merchant declares it holds all required permits and accepts full liability for any regulatory issue.
  • 7.4.3 OTP verification applies at delivery for COD Orders with an item value of QAR 500 or above. The driver cannot complete delivery without a valid OTP.
  • 7.4.4 Carson has no obligation to Settle amounts for shipments that breach this Section.
7.5 Fees
  • 7.5.1 For COD Orders the delivery fee is paid by the Customer at delivery, on top of the COD Amount. It is not deducted from the Merchant's wallet unless stated in this Section.
  • 7.5.2 Delivery fees: Value Delivery QAR 15 and Priority Delivery QAR 25, or as shown in the current Pricing Schedule.
  • 7.5.3 [COD handling fee: [__]% of the COD Amount / QAR [__] per order, deducted from Settlement.] [Delete if no COD fee applies.]
  • 7.5.4 Carson may change fees on [30] days' notice through the Pricing Schedule.
7.6 Collection of Payment
  • 7.6.1 The driver collects the Total Collectable Amount at delivery. Accepted methods: cash, card payment terminal, Fawran transfer, or secure payment link.
  • 7.6.2 Fawran transfers must be confirmed to the driver before handover. Carson is not liable for payments made to any other account or person.
  • 7.6.3 Payment first: The driver cannot mark a COD Order as delivered until payment is recorded as collected (cash, card, Fawran confirmed, or paid by link). Proof of delivery photo is also mandatory.
  • 7.6.4 Partial payments, discounts, or amount changes at the door are not permitted. Any amount change must be made by the Merchant in the system before dispatch, with the Customer's reconfirmation.
  • 7.6.5 [Drivers do not carry change. Customers are asked to pay the exact amount, or use another payment method.] [Confirm policy.]
7.7 Delivery Attempts, Failed Deliveries, and Refusals

  • 7.7.1 A delivery may fail if the Customer cannot be reached, the location is wrong, the Customer refuses the order, or the Customer refuses to pay.
  • 7.7.2 Because the Customer confirmed the order and payment obligation before dispatch, COD Orders are not eligible for return-to-pickup by default. Where a return is approved by Carson support, the Merchant pays the return fee, which may be deducted from the wallet or Settlement.
  • 7.7.3 [Undelivered COD goods will be held for up to [X] days. If not collected or redelivered within that time, Carson may dispose of them, and has no further liability.] [Confirm policy.]
  • 7.7.4 Where delivery fails because of Merchant error (wrong number, wrong address, wrong amount), the Merchant is responsible for the delivery fee and any additional charges. [Failed-delivery fee: QAR [__].]
7.8 Settlement of COD Funds
  • 7.8.1 Carson collects COD Amounts on the Merchant's behalf and holds them until Settlement. Carson's delivery fees are collected from the Customer separately and are not part of the COD Amount owed to the Merchant.
  • 7.8.2 Settlement is processed weekly in the reconciliation cycle: deliveries completed from [day] to [day] are settled on [day], within [X] business days, by bank transfer to the IBAN verified under Section 7.2.
  • 7.8.3 Each settlement is supported by a statement listing orders, amounts collected, payment methods, and any deductions. The Merchant must report discrepancies within [7] days of the statement; after this, the statement is treated as accepted.
  • 7.8.4 Carson may deduct from Settlement: applicable COD fees; unpaid delivery, return, or failed-delivery fees; amounts owed under Section 7.9; and refunds or chargebacks caused by the Merchant.
  • 7.8.5 Carson may delay or withhold Settlement, for as long as reasonably needed, where it suspects fraud, a prohibited-item breach, an unresolved dispute, or a legal or regulatory issue.
  • 7.8.6 No interest is payable on amounts held before Settlement. [Confirm whether any minimum settlement threshold applies.]
7.9 Disputes, Chargebacks, and Set-Off
  • 7.9.1 Disputes about the product, quality, price, or return of goods are between the Merchant and the Customer. Carson is responsible only for delivery and collection.
  • 7.9.2 Where a Customer proves that payment was collected in error or twice, Carson may reverse the amount from future Settlements or the wallet. The Merchant must repay any shortfall within [7] days.
  • 7.9.3 Carson may set off any amount the Merchant owes it against Settlements or the wallet balance.
  • 7.9.4 Proof of delivery photos, OTP records, and order logs are kept internally and may be used to resolve disputes.
7.10 Cancellation and Changes
  • 7.10.1 Before driver assignment, the Merchant may cancel or edit the COD Amount. A change to the COD Amount or delivery type requires the Customer to confirm again.
  • 7.10.2 After a driver is assigned, the delivery type cannot be changed unless support approves and the Customer reconfirms. After pickup, the delivery type, COD Amount, and item description cannot be changed.
  • 7.10.3 Cancellation after pickup may be charged at the applicable fee, plus a return fee if a return is approved. [Confirm fee.]
7.11 Liability
  • 7.11.1 From the moment a driver records collection of payment until Settlement, Carson is responsible for the COD funds it holds. Carson will Settle any COD Amount properly collected, subject to Section 7.8.
  • 7.11.2 If a driver fails to hand over collected funds, Carson remains liable to the Merchant for the COD Amount. It may pursue recovery from the driver.
  • 7.11.3 Carson's liability for loss of or damage to goods is limited to the lower of the declared item value and QAR [___] per order, unless the law requires otherwise. Carson is not liable for indirect or consequential loss, including loss of profit or goodwill.
  • 7.11.4 Carson is not liable for delay or failure caused by events outside its control (weather, road closures, government action, network outages), or by inaccurate Customer or Merchant information.
  • 7.11.5 The Merchant indemnifies Carson against losses, fines, and claims arising from prohibited or restricted items, false information, or a breach of these Terms.
7.12 Account Standing, Restriction, and Suspension
  • 7.12.1 Carson monitors account health using the traffic-light system: Healthy, Warning, Restricted, or Blocked. Factors include successful deliveries, cancellations, incorrect COD amounts, "I did not place this order" reports, failed deliveries, refused payments, confirmation timeouts, and unclear item descriptions.
  • 7.12.2 Carson may send a warning, temporarily restrict COD (prepaid remains available), or block the account. Settlement of amounts already properly collected continues, subject to Section 7.8.5.
  • 7.12.3 Customer numbers that repeatedly refuse delivery or payment, or deny placing orders, are reviewed by the Carson support team before any warning, temporary block, or blacklist is applied.
  • 7.12.4 Carson may suspend or end COD access at any time on notice. The Merchant may end it on [14] days' written notice, with outstanding orders and Settlements completed first.
7.13 Compliance and Fraud Prevention
  • 7.13.1 The Merchant confirms its business is lawfully registered and that funds and goods are not connected to any unlawful activity.
  • 7.13.2 Carson may request additional documents, verify identities, and report suspicious activity to the relevant authorities under applicable Qatar law, including anti-money-laundering regulations. Carson may pause COD services while it does so.
  • 7.13.3 Personal data of Customers and Merchants is handled in accordance with the Privacy Policy and applicable Qatar data protection law.
7.14 General
  • 7.14.1 These COD Terms form part of the Terms of Service and the App Terms & Conditions. If they conflict on COD matters, this Section prevails.
  • 7.14.2 Carson may update these Terms. Continued use of COD after notice means acceptance. Material changes will be notified by WhatsApp or in the app.
  • 7.14.3 These Terms are governed by the laws of the State of Qatar. Disputes are subject to the courts of [Doha / QFC / arbitration — confirm]. [If the Arabic and English versions differ, the [Arabic] version prevails.]

8. Order Fulfillment and Liability

  • Delivery times are estimates and not guaranteed
  • Carson Logistics is not liable for delays beyond reasonable control

Loss or Damage

  • Liability (if any) is subject to applicable law or separate agreements
  • Merchants are responsible for proper packaging and declaration

9. Platform Availability

We do not guarantee uninterrupted access to the Platform. We may suspend, restrict, or modify services at any time for maintenance or operational reasons.

10. Data and Privacy

Use of the Platform is governed by our Privacy Policy.

11. Intellectual Property

All Platform content, software, and branding are owned by Carson Logistics W.L.L and may not be used without permission.

12. Termination

We may suspend or terminate accounts if users:

  • Violate these Terms
  • Engage in misconduct or unlawful activity
  • Pose risk to the Platform or other users

13. Limitation of Liability

To the maximum extent permitted by law:

  • Carson Logistics shall not be liable for indirect, incidental, or consequential damages
  • Total liability (if any) shall be limited to fees paid for the relevant service

14. Indemnification

You agree to indemnify and hold harmless Carson Logistics W.L.L from any claims arising from:

  • Your use of the Platform
  • Your breach of these Terms
  • Your violation of applicable laws

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Qatar. Any disputes shall fall under the exclusive jurisdiction of the courts of Qatar.

16. Changes to Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
